Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Distill Digital LLC (“Company,” “we,” “us,” or “our”) governing your access to and use of the Rate It mobile application (the “App”). By downloading, installing, registering for, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

Eligibility

You must be at least 16 years of age to use the App. By using the App, you represent and warrant that you are at least 16 years old and have the legal capacity to enter into these Terms.

Account Registration

To access certain features of the App, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Each user should maintain only one account. We reserve the right to terminate duplicate accounts at our discretion.

Guest Access

The App offers Guest Access, which allows you to use certain App features without creating a registered account. By using the App as a guest, you agree to be bound by these Terms and our Privacy Policy, as disclosed on the App’s welcome screen.

Guest Access is subject to the following limitations:

  • Certain features, including sharing and Pro features, require a registered account.
  • Guest data is subject to automatic deletion. We will permanently delete your guest session and all associated data if you have not used the App for 180 consecutive days. We are not able to recover data deleted under this policy.
  • You may create a registered account at any time to preserve your data and unlock additional features. Upon account creation, your guest data will be migrated to your new account.

We reserve the right to modify or discontinue Guest Access at any time.

User-Generated Content

Ownership

You retain ownership of all categories, ratings, and other content you create within the App (“User Content”). We do not claim any ownership rights in your User Content, and your User Content will not be used by Distill Digital for any purpose other than providing and improving the App services.

Your Responsibilities

You are solely responsible for all User Content you create, upload, or share through the App. You represent and warrant that:

  • You have all necessary rights to create and share your User Content
  • Your User Content does not infringe upon any third party’s intellectual property rights, including copyrights, trademarks, or other proprietary rights
  • Your User Content does not violate any applicable laws or regulations
  • Your User Content is accurate and not misleading

Disclaimer

Distill Digital is not responsible for the accuracy, legality, or appropriateness of any User Content. Users are solely responsible for ensuring their User Content complies with all applicable laws, including but not limited to intellectual property laws, defamation laws, and privacy laws. You agree to use your best judgment and abide by all applicable laws when creating and sharing content through the App.

Sharing Features

The App allows you to share categories with other users at your discretion. Sharing features are available exclusively through the Rate It – Shared Upgrade, a paid in-app purchase described in the Purchases and Payments section below.

When you share a category, you are the owner of that shared category. As the owner, you control whether members can add their own ratings and whether members can manage the category, including adding or removing other members and modifying category settings.

Members of a shared category can view the category and its ratings. Depending on the permissions you grant, members may also add their own ratings or help manage the category. You may revoke access or change permissions at any time.

You are responsible for managing access to your shared content and for any content added by members you have granted access to.

Purchases and Payments

The App offers the following in-app purchase:

  • Rate It – Shared Upgrade – A one-time, non-consumable purchase that unlocks the ability to share categories with other users, enabling collaborative ratings and group-based filtering. The current price is $4.99 USD, though pricing may vary by region and is subject to change.

All purchases are processed by Apple through the App Store and are subject to Apple’s terms and conditions, including Apple’s refund policies. We do not process payments directly and do not offer refunds outside of Apple’s refund process. For refund requests, please contact Apple directly through their standard refund procedures.

As a non-consumable purchase, the Rate It – Shared Upgrade can be restored on any device signed in to the same Apple ID used for the original purchase, at no additional cost.

Prohibited Conduct

You agree not to:

  • Use the App for any unlawful purpose or in violation of these Terms
  • Post or share content that is defamatory, obscene, abusive, or otherwise objectionable
  • Infringe upon the intellectual property rights of others
  • Attempt to gain unauthorized access to the App, other users’ accounts, or our systems
  • Interfere with or disrupt the App or servers or networks connected to the App
  • Use automated means to access the App without our permission
  • Harass, threaten, or intimidate other users
  • Impersonate any person or entity

Account Termination

You may delete your account at any time through the App’s settings.

We reserve the right to suspend or terminate your account if we receive formal complaints about your conduct or if we determine, in our sole discretion, that you have violated these Terms. In such cases, we may delete your account and all associated data without prior notice.

Intellectual Property

The App and its original content (excluding User Content), features, and functionality are owned by Distill Digital LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the App without our prior written consent.

Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

We make no guarantees regarding uptime, availability, or continuous operation of the App.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DISTILL DIGITAL LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE APP EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIVE DOLLARS ($5.00), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless Distill Digital LLC and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the App, your User Content, or your violation of these Terms.

Dispute Resolution and Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the App shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in Florida, and judgment on the arbitration award may be entered in any court having jurisdiction.

YOU AND DISTILL DIGITAL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

Modifications to the App

We reserve the right to modify, suspend, or discontinue the App (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the App.

Changes to These Terms

We may revise these Terms from time to time. If we make material changes, we will notify you by updating the date at the top of these Terms and, where appropriate, through the App or via email. Your continued use of the App after any changes indicates your acceptance of the revised Terms.

Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Distill Digital LLC regarding your use of the App and supersede all prior agreements and understandings.
